The Agreement
What this document covers
These Terms of Service form a binding agreement between you and ProjektAnalytics Pvt. Ltd. ("ProjektAnalytics", "we", "us"), an Indian private limited company. They apply when you visit our website, use our causal analytics platform, or engage us for an analytics project.
By using the Services you confirm that you have authority to bind your organisation and that you accept these terms. If you do not accept them, do not use the Services.

The Services
What we provide
The Services include our website, the ProjektAnalytics platform, any dashboards or reports we deliver, and any custom analytics work contracted under a separate Statement of Work. The specifics of any paid engagement, including scope, deliverables, timelines, and fees, are set out in the SOW. Where the SOW conflicts with these Terms, the SOW controls for that engagement.
We may improve, change, or retire features over time. We will give reasonable notice for material changes that affect a paid engagement.

Accounts & Access
Keeping your account safe
You are responsible for the accuracy of the information you give us, for the security of your credentials, and for the activity of any team member you grant access to. Tell us promptly if you suspect unauthorised use.
We may suspend access to address a security risk, a payment failure, or a breach of these Terms. We will restore access once the issue is resolved.

Your Data
You own your data. We are a custodian.
Any data you upload, connect, or share with us — including event logs, customer attributes, transaction histories, and the outputs of our models on your data — remains yours. We process it on your behalf to deliver the Services, under the protections described in our Privacy Policy.
You grant us a limited licence to use your data only to operate, secure, and improve the Services for you. We do not sell your data, and we do not use it to train shared third-party models.

Fees & Payment
Pricing and invoicing
Fees, billing cycle, and payment terms are stated in the relevant SOW or order form. Unless agreed otherwise, invoices are payable in Indian Rupees within thirty (30) days of issue. Taxes, including GST where applicable, are additional.
Late payment beyond thirty days from the due date may attract interest at one and a half percent per month or the maximum permitted by law, whichever is lower, and we may pause work until the account is current.

Intellectual Property
Who owns what
We retain ownership of the ProjektAnalytics platform, our causal inference methodology, our model architectures, our pre-existing tools, and any general improvements we make to them. You receive a non-exclusive, non-transferable licence to use the deliverables for your internal business purposes during and after the engagement.
You retain ownership of your data and of any insights derived from it when those insights are documented in deliverables we hand over to you under the SOW.

Confidentiality
We keep your business private
Either party may share information marked or reasonably understood to be confidential. The receiving party will protect it with at least the same care it uses for its own confidential information, will use it only for the purposes of the engagement, and will not disclose it to third parties without consent.
We may name you and use your logo in a customer list or case study only where you have given prior written approval.

Disclaimers
What we do and do not promise
We deliver the Services with reasonable skill and care. We do not warrant that they will be uninterrupted, error-free, or that any recommendation will produce a specific commercial outcome. Causal estimates are interpretations of data, not guarantees of future performance.
To the extent permitted by law, all other warranties — express or implied — are disclaimed.

Limitation of Liability
What we are responsible for
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data. Each party's aggregate liability for any claim arising out of the Services is capped at the fees paid or payable to ProjektAnalytics under the relevant SOW in the twelve months preceding the claim.
Nothing in these Terms limits liability for fraud, gross negligence, or anything else that cannot lawfully be limited.

Term & Termination
Ending an engagement
Either party may terminate an SOW for material breach if the breach is not cured within thirty days of written notice. On termination, we stop work, you pay for work performed up to the termination date, and each party returns or destroys the other's confidential information on request.
Sections that by their nature should survive — including IP, confidentiality, payment, disclaimers, and limitation of liability — will continue after termination.

Governing Law
Jurisdiction
These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka, India have exclusive jurisdiction over any dispute arising out of or in connection with the Services, except that either party may seek urgent injunctive relief in any court of competent jurisdiction.

Changes
Updates to these Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above and, for active engagements, notify the primary contact on file. Continued use of the Services after the update means you accept the revised Terms.
